Viktor Protocol Terms of Service

These Terms of Service ("Terms") are an agreement between you and [Company legal name] ("Viktor Protocol," "we," "us" or "our"), [a corporation registered in Province/State, Country], about your use of the Viktor Protocol website at [viktorprotocol.com], the subscriber dashboard, and related content and services (together, the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Who can use the Service

You must be at least the age of majority where you live (and at least 18) to subscribe. You're responsible for keeping your account login private and for everything done under your account. Tell us right away at [support email] if you think someone else has accessed it.

2. What the Service is

Viktor Protocol is informational software. It shows a rules-based model's reading of general market conditions for selected index funds (currently SPY and QQQ): a market-cycle stage, condition readings, a model agreement percentage and a risk monitor percentage. Readings update once per trading day, after the market close. Everyone who subscribes sees the same readings.

The Service does not provide buy, sell or hold signals, price targets, order suggestions, portfolio advice, or recommendations about any security or strategy, and it does not execute trades.

3. Not investment advice

Everything in the Service, including readings, stages, percentages, articles, examples and emails, is general information for educational purposes only. It is not investment, financial, legal, tax or accounting advice, and it is not a recommendation or offer to buy or sell any security.

• We are not a registered investment adviser, broker-dealer, dealer or portfolio manager, and nothing in the Service creates an advisory, fiduciary or client relationship.
• The Service doesn't consider your goals, finances, risk tolerance or circumstances.
• You alone are responsible for your investment decisions and their results. Consider speaking with a qualified, registered professional before making investment decisions.

4. Readings can be wrong

Markets are unpredictable. The model reflects past and current market conditions, not the future. A reading or stage describes conditions at a close; it is not a forecast. Readings can be late, change after publication, be affected by errors in third-party data, or simply be wrong. Model agreement and risk monitor percentages are descriptive measures of the model's own readings; they are not probabilities of profit, loss or any market outcome. Historical replays, illustrations and sample data shown on the site are for explanation only and don't show what any subscriber saw or earned. Trading and investing involve risk, including the loss of your entire investment.

5. Subscription, billing and renewal

• Price. The subscription costs [USD $20] per month, plus any applicable taxes, unless a different price is shown at checkout.
• Automatic renewal. Your subscription renews automatically each month, and we (through our payment processor) will charge your payment method at the start of each billing period until you cancel.
• Cancellation. You can cancel anytime from your account or by contacting [support email]. Cancellation stops future charges; your access continues until the end of the period you've already paid for.
• Refunds. Refunds are handled under our Refund & Cancellation Policy. Except where that policy or the law says otherwise, payments are non-refundable.
• Price changes. We may change the price. We'll tell you at least [30] days before a change applies to your subscription, and you can cancel before it takes effect.
• Failed payments. If a payment fails, we may pause your access until it's resolved.
• Payments. Payments are processed by Shopify and its payment partners. We don't store your full card details.

6. Your license to use the Service

While your subscription is active and you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use. One subscription is for one person. You may not share your account or let anyone else use it.

7. What you agree not to do

You agree not to, and not to help anyone else:

• copy, republish, redistribute, sell, broadcast or publicly share readings, stages, percentages or dashboard content, in whole or in part (including in newsletters, social media, chat groups or paid services), except for occasional personal, non-commercial sharing of a single screenshot with credit to Viktor Protocol;
• use the Service to provide advice or signals to others, or as an input to a commercial product, fund, model or service;
• scrape, crawl, or access the Service through bots, scripts or other automated means, or try to access it in any way other than through the interfaces we provide;
• reverse engineer, decompile, or try to work out the model, its inputs, settings or methods;
• get around access controls, rate limits or security measures, or probe or test the Service's vulnerability;
• use the Service in a way that breaks any law, including securities and consumer protection laws.

Our Acceptable Use Policy gives more detail and forms part of these Terms.

8. Our intellectual property

The Service, including the model, readings, software, design, text, graphics, names and logos, belongs to us or our licensors and is protected by intellectual property laws. Except for the license in section 6, these Terms give you no rights in it. "Viktor Protocol" and our logos are our trademarks.

9. Feedback

If you send us ideas or suggestions, we can use them without any obligation to you.

10. Third-party data and services

The Service relies on third-party market data, hosting, payment and platform providers, including Shopify. We don't control them and aren't responsible for their accuracy, availability or actions. Links to third-party sites are for convenience only.

11. Availability and changes

We aim to update readings after every trading day, but we don't guarantee that the Service will be available, on time, uninterrupted or error-free. We may change, add or remove features, indexes or content, and may suspend the Service for maintenance or for reasons outside our control. If we permanently discontinue the Service, we'll give you reasonable notice and [refund any prepaid amount for the period after it ends].

12. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, and non-infringement. Some places don't allow certain warranties to be excluded, so some of these exclusions may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any investment or trading losses, or for any decision you make based on the Service.
• We are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunity, even if we were told they were possible.
• Our total liability for any claim relating to the Service or these Terms is limited to the amount you paid us for the Service in the [3] months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, or any rights you have as a consumer that cannot be waived.

14. Indemnity

To the extent permitted by law, you agree to cover our reasonable losses and costs (including legal fees) arising from your breach of these Terms or your misuse of the Service.

15. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or end your access, without refund, if you breach these Terms (for example, by sharing your account or redistributing readings), if required by law, or to protect the Service or other users. Sections 3, 4, 7 to 10, 12 to 14 and 17 to 19 continue after your access ends.

16. Privacy

Our Privacy Policy explains how we collect and use personal information.

17. Changes to these Terms

We may update these Terms from time to time. We'll post the new version with a new "Last updated" date and, for material changes, notify subscribers by email at least [15] days before they take effect. If you keep using the Service after changes take effect, you accept them; if you don't agree, cancel before then.

18. Governing law and disputes

These Terms are governed by the laws of [Province/State] and the applicable laws of [Country], without regard to conflict-of-laws rules.
